1. Acceptance of Terms

These Terms of Use (“Terms”) govern your access to and use of the gitplace.dev website (the “Website”) and the GitPlace Visual Studio Code Extension (the “Extension”), provided by GitPlace (“GitPlace”, “we”, “us”, or “our”).

By accessing the Website, downloading, or using the Extension, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access the Website or use the Extension.

Notice: These Terms of Use are distinct from our Privacy Policy and our End User License Agreement (EULA). Please review each document carefully.

2. Description of GitPlace

GitPlace provides local-first Git development workspace management tooling designed to operate within Visual Studio Code. GitPlace enables developers to organize repositories into projects, instantiate branch-isolated worktree directories, inspect local Git changes and split diffs, search commit history and manage local workspace configuration stashes.

Under its current architecture, GitPlace operates locally on the user’s machine. GitPlace is not a cloud repository hosting service or cloud backup provider.

3. User Responsibilities and Acceptable Use

You represent and agree that:

  • You have all necessary rights, titles, permissions and licenses to any Git repositories, source code and files you open, inspect, or modify using GitPlace;
  • You will not use GitPlace to engage in any activity that infringes, misappropriates, or violates any third-party intellectual property, privacy, or trade secret rights;
  • You will not attempt to disrupt, interfere with, or compromise the integrity or security of the Website or distribution channels;
  • You will comply with all applicable local, national and international laws, regulations and export controls.

4. Repository Operations and Backup Strategy

Backup Responsibility

Git operations (such as branch switching, worktree creation, workspace removal and stashing) modify files on your local filesystem. You acknowledge and agree that GitPlace is not a backup service and that you remain solely responsible for maintaining regular, verified backups of all repositories and uncommitted modifications.

5. Intellectual Property Rights

GitPlace Intellectual Property: The Website, the Extension, their source code, visual interfaces, documentation, logos, branding and design elements are the exclusive intellectual property of GitPlace and its licensors.

User Intellectual Property: You retain full, exclusive ownership of all source code, Git repositories, commit histories and workspace contents that you access or create using GitPlace. We claim no ownership over your code.

6. Disclaimers & Limitation of Liability

THE WEBSITE AND EXTENSION ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, GITPLACE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

IN NO EVENT SHALL GITPLACE BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF REPOSITORIES, DATA CORRUPTION, OR BUSINESS INTERRUPTION) ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES.

7. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India, without giving effect to any principles of conflicts of law. Any legal proceeding arising out of or related to these Terms shall be instituted exclusively in the competent courts situated in India.
